Regulation A+ Tiers

Tier 1

Raise up to $20 million in a 12-month period. Subject to state blue sky review. No ongoing SEC reporting requirements after the offering.

Tier 2

Raise up to $75 million in a 12-month period. Preempts state blue sky laws. Requires ongoing SEC reporting (annual, semi-annual, and current event reports).

Reg A vs Reg D

Both are exemptions from full registration, but Regulation A offerings require filing an offering statement with the SEC and allow sales to non-accredited investors.
